Statement on the Setting of Targets for the Proportion of Women on the Supervisory Board and Among the Managing Directors of msg life central europe gmbh Pursuant to Section 52(2) of the German Limited Liability Companies Act (GmbHG)

 

In May 2026, the shareholders’ meeting of msg life central europe gmbh resolved, pursuant to Section 52(2) of the German Limited Liability Companies Act (GmbHG), that a target figure for the proportion of women on both the Supervisory Board of msg life central europe gmbh and among the managing directors of msg life central europe gmbh shall be set at (at least) 0% by December 31, 2030. The shareholders’ meeting is of the opinion that, when filling positions on the Supervisory Board and among the managing directors, personal qualifications and individual ability, but not gender, are decisive. Therefore, no considerations should be decisive that are not based purely on personal and professional suitability for the respective office. Regardless of the target figure set, future appointment procedures will generally assess whether, in addition to professional and personal qualifications, aspects of diversity, including a gender-balanced composition of the governing bodies, can be appropriately taken into account.
